We
greatly appreciate the opportunity to serve Your Company by presenting
qualified candidates for the positions you specify.
We stake
our reputation on being very good at what we do and will seek to
demonstrate that we can help you find the best-qualified candidates in
the quickest possible time.
As we
discussed on [Date], The Dresden Group agrees to undertake this search
assignment on a contingent fee basis. Our fee will be an amount equal
to 33 percent of total taxable compensation for the first twelve
months of employment.
Our fee, in its entirety, is due upon the date our candidate's
employment begins and will be billed by us if employment occurs within
one year of our last communication concerning the candidate,
regardless of any intervening factors and regardless of whatever
position is accepted. If more than one of the candidates we present
for a position accepts employment with Your Company a
fee will be due for each.
We will
do our utmost to understand your requirements concerning the position
to be filled, to locate and present to you highly qualified
candidates, and to complete the search as quickly and efficiently as
possible -- using The Dresden Group's proprietary data bases and
recruiting techniques. We will keep you informed of our progress and
hope to consult regularly with you and others involved in the hiring
process. By federal law, The Dresden Group, and all other recruiting
firms are bound as agents of their clients to comply with provisions
of the Civil Rights Act of 1964, the Civil Rights Act of 1991, the
Americans with Disabilities Act of 1991 and other anti-discrimination
legislation.
We offer
a 60-day replacement guarantee. In the event that the selected
candidate is discharged for cause or leaves for any reason in the
first 60 days of employment, we will offer replacement candidates for
this employee at no additional cost to you, provided that the reason
for the cessation of employment is not due to a change in your
organization’s structure or strategy.
Before initially presenting any candidate, The Dresden Group will
check at least one reference supplied by each candidate. Additional
reference checks will be conducted prior to final interviews; however,
independent verification of any information supplied by the candidate
will be conducted only if requested by you and with your agreement to
pay any associated out-of-pocket expenses. We will continue the
current search until it is completed or until you instruct us to stop.
This
agreement is made at Dresden, ME, and in case of any dispute, shall be
governed by the laws of the State of Maine.

accordance with the terms above and look forward to a long, productive
